Terms of Service
Terms for using Heldrey.
Effective date September 18, 2026. Questions: [email protected].
These Terms of Service (the Terms) govern your access to the Heldrey website, application, and calendar automation services, including our API and Model Context Protocol (MCP) integrations (together, the Service).
The Service is provided under the name Heldrey (Heldrey, we, us, or our). Contact us at [email protected].
By accepting these Terms when creating an account or otherwise entering into an agreement to use the Service, you agree to these Terms. If you do not agree, do not create an account or use the account-based Service. If you accept on behalf of an organization, you represent that you have authority to bind it. In that case, references to you include that organization where appropriate.
1. Eligibility and your account
You must be at least 18 years old and legally able to enter into this agreement. By creating an account, you confirm that you meet these requirements.
Provide accurate account and billing information and keep it current. Protect access to your account and connected Google accounts, and notify us promptly at [email protected] if you suspect unauthorized use. You are responsible for your authorized users and activities you authorize through your account. This does not make you responsible for unauthorized activity caused by our failure to meet obligations imposed on us by applicable law.
An individual subscription is for one person. You may connect calendars that you use for your own work and personal activities, subject to the applicable plan and permissions. You may not share an individual subscription among several people or use it to provide separate personal automation services to multiple users. Team plans provide separate access for their members.
2. What Heldrey does
Heldrey applies configured rules and settings to connected Google Calendars. Depending on your plan and configuration, it can change supported event fields, create and maintain calendar blocks, synchronize availability, and provide previews, activity records, explanations, and supported undo operations.
The Service currently supports Google Calendar. Features, supported integrations, and operational limits are described in the application and documentation. We do not promise functionality described only as planned, experimental, or coming soon unless expressly included in a separate agreement with you.
Configured automations run on our systems and may continue when the application or a connected assistant is closed. Changes may not appear immediately. Processing depends on factors including permissions, provider availability, supported event types, synchronization delays, and the Service’s processing window.
Heldrey is not an emergency, safety-critical, navigation, or guaranteed scheduling service. You remain responsible for reviewing your schedule and making appropriate arrangements for meetings and travel.
3. Calendar access and authorization
You must have the right to connect each account and calendar and to authorize the processing and changes requested. For employer, client, or shared calendars, obtain any organizational permission that is required. Access to a calendar does not by itself establish that your organization permits the use of Heldrey.
When you connect Google and enable an automation, you authorize Heldrey to access relevant calendar information and perform the supported changes needed to provide that automation, within the permissions you grant. This authorization continues while the automation and connection remain enabled, subject to these Terms and your settings.
You are responsible for reviewing the calendars, conditions, actions, visibility settings, and destinations you select. A change to a shared calendar or the choice to copy an original event title may make information available to people who can access the destination calendar.
You can manage automations and disconnect Google through the available controls. Revoking access stops further authorized processing once the revocation takes effect, but does not automatically reverse changes already made. Disconnecting Google, deleting your Heldrey account, and canceling a subscription are separate actions unless the relevant flow expressly states otherwise.
4. Automation results, previews, and undo
Previews help you assess proposed behavior, but reflect the information and configuration available when generated. Events, permissions, other rules, and provider data can change between a preview and execution.
Calendar Sync creates availability blocks. It does not guarantee that another person or scheduling tool will avoid an overlap, and does not automatically reject or decline invitations on your behalf.
Travel durations are estimates, not guarantees. Actual conditions, routes, delays, and your own circumstances may differ. Allow appropriate additional time and use suitable navigation information when traveling.
Undo is available only for supported changes within the applicable window and limits. Heldrey checks for certain later changes before restoring a field or removing a block, and may report a conflict or be unable to undo a change. Activity history is not a backup of your entire Google Calendar. Keep any independent records or backups you need.
Pausing, disabling, downgrading, disconnecting, and undoing have different effects. In particular, field changes already applied may remain, while future Heldrey-managed blocks may be removed according to the applicable lifecycle described in the app or documentation. Review those effects before taking an action.
5. AI assistants, MCP, and API access
You may choose to connect compatible third-party assistants or clients. Their terms, privacy practices, availability, and charges are separate from ours. A Heldrey subscription does not include a subscription to an assistant provider.
You authorize requests made through integrations that you connect, within the permissions and confirmation controls applicable to those integrations. Review assistant-generated configurations before approving them. An assistant may misunderstand an instruction; its output is not a representation or warranty made by Heldrey.
Connecting an assistant may disclose information to that provider when you authorize tools that retrieve it. The information accessible depends on the permissions and tools involved. Our Privacy Policy explains our processing; the third party’s policy explains its own processing.
MCP and API access use the same applicable plan entitlements as the application. Do not bypass confirmation steps, authentication, authorization, rate limits, or plan restrictions. Keep access credentials secure and revoke connections you no longer want.
6. Plans, limits, and fair use
Your plan determines the features, active-automation allowance, calendar access, history window, and other entitlements available to you. The offer displayed when you select a plan, together with these Terms, forms the basis of your subscription. Changes to subscription features and limits are governed by the notice and cancellation protections in Section 13. A pricing-page edit alone does not change an existing subscription.
An enabled custom rule may count as one active automation even if it has multiple actions. Modules such as Travel Time and invitation holds also count when enabled. Specific counting rules and allowances are explained in the app and plan documentation.
“Unlimited calendars” on an individual plan means calendars used by the same person, not multiple people sharing an account. The self-service activation limit is 10 calendars. Contact [email protected] if you need additional calendars for that same person. Separate provider permissions and technical restrictions still apply.
Live travel allowance. Productive and Team include live travel calculations for up to 100 qualifying meeting occurrences per person per calendar month, shared across that person’s connected accounts and calendars. Each Team member has a separate allowance. The month is determined by the meeting date in the user’s configured timezone. One occurrence covers both travel directions and subsequent recalculations for that occurrence; recurring occurrences count separately. This is a meeting allowance, not a count of individual routing API requests. Unused allowance does not roll over. Trials with Productive or Team capabilities use the same allowance unless the trial offer expressly states otherwise.
Once this allowance is exhausted, further qualifying meetings use fixed travel blocks of 30 minutes plus the configured extra travel margin for each applicable direction. Meetings already granted live calculations retain them for that occurrence. No automatic overage fee is charged. The Free plan has its separately disclosed allowance.
Other “unlimited” features have no advertised numerical subscription allowance of the specified kind, but remain subject to documented operational limits and reasonable use of the Service for its intended purpose. We will not use fair-use restrictions as an undisclosed routine quota for ordinary personal calendar use. We may restrict abusive use, attempts to resell access, or activity that materially threatens security or service availability, as described in Section 13.
7. Trials and early access before billing opens
New eligible accounts receive the trial described at signup, normally 30 days. Eligible referral offers may extend it. No credit card is required for the standard trial. Trials are for eligible new users; creating duplicate accounts to obtain repeated trials is prohibited.
If you do not select a continuing plan, your account moves to Free when the trial ends. Paid-only features and calendars outside the Free allowance are paused or suspended, and excess automations may be paused. Saved configurations are not deleted merely because a trial ends. The application lets you manage which eligible automations remain active.
Before paid billing is available, selecting Productive or Team can activate or schedule that plan without payment. This is not an authorization to charge you later. Displayed prices indicate the proposed subscription terms for a future paid subscription; your confirmation screen identifies what you are selecting now.
Before charging you for the first time, we will ask you to expressly confirm the paid subscription, including its then-disclosed price, billing frequency, and renewal terms, and to provide payment details. We will notify affected early-access users of the billing transition and their options before unpaid access ends. If you do not opt into paid billing, you will not be charged; your account may move to Free on the date stated in that notice.
8. Paid subscriptions and renewal
This section applies only when billing is available and you expressly purchase a paid subscription.
Before you complete a purchase, we will disclose the applicable price, currency, billing period, automatic-renewal terms, and any applicable taxes or mandatory charges. Annual prices expressed as a monthly equivalent are charged as the disclosed annual amount, not as monthly installments unless expressly stated.
If you agree to an automatically renewing subscription, it renews for the disclosed billing period until canceled. You authorize the disclosed recurring charges to your selected payment method. Any additional seats, upgrade charges, or proration must be disclosed before you approve the change; these Terms do not authorize an undisclosed additional charge.
We may change subscription prices for future periods after giving reasonable advance notice and any notice required by law. A price increase will not change the price of a period you have already paid for. You can cancel renewal before the new price takes effect. We will obtain additional consent where required.
If an authorized payment fails, we may request updated payment details and, after appropriate notice, restrict paid access or move the account to Free. We may act sooner where necessary to address fraud or security risks. You remain responsible for valid charges incurred before cancellation, subject to applicable dispute and consumer rights.
9. Cancellation and refunds
You can cancel automatic renewal at any time through the subscription controls made available in the app or by contacting [email protected]. We may request information reasonably necessary to identify the subscription. We will not require a telephone call as the only cancellation method.
Ordinarily, cancellation stops the next renewal and paid access continues until the end of the period already paid for. If applicable law gives you a right to earlier termination, withdrawal, or a refund, that right takes priority , and we will give effect to it within the applicable legal timeframe. This includes mandatory rights that may apply to Israeli continuing transactions and to consumers in other jurisdictions.
Except where required by applicable law, expressly offered at purchase, or provided elsewhere in these Terms, subscription payments are non-refundable and we do not provide partial-period credits for unused time, unused features, or a voluntary downgrade. The cancellation and proportionate-refund right for material subscription reductions in Section 13 is an express exception.
Contact [email protected] to request a refund, report an incorrect charge, or exercise a statutory cancellation right. Nothing in these Terms limits your right to dispute an unauthorized charge or seek a remedy for a failure to supply the Service as required by applicable law.
10. Teams and shared templates
If you administer a Team, you are responsible for your authority to purchase access, invite members, and manage seats. The applicable offer explains included seats and the treatment of additional members. Before paid billing, no seat payment is collected. Once billing is available, any reservation or charge for pending invitations must be disclosed in the relevant purchase or invitation flow.
Members use their own accounts and control their calendar connections and automations. Team administration does not grant access through Heldrey to members’ private event contents, rule contents, activity history, or items needing attention. Administrators can access membership and administrative information and any disclosed usage totals. Independent access granted through Google or an employer’s systems is outside these Team privacy controls.
Shared templates provide reusable configurations. A member who uses a template creates their own copy and is responsible for reviewing and enabling it. Changing a template does not automatically change copies already installed by members.
Leaving or being removed from a Team may immediately end Team-derived entitlements. Your account then uses any other applicable subscription or trial, or Free, and restrictions may be applied accordingly. Team removal is not, by itself, account deletion.
11. Referrals and promotions
Referral and promotional offers are subject to the eligibility conditions disclosed with the offer. A valid reward adds only the benefit stated; an additional Free automation slot does not unlock a paid feature.
Do not self-refer, create fictitious users, manipulate attribution, send unlawful unsolicited messages, or otherwise abuse an offer. We may withhold or reverse rewards that do not satisfy disclosed conditions or were obtained through fraud or abuse. For the current referral offer, Team invitations do not qualify, and a reward may be removed when the referred person joins the referrer’s Team within the disclosed 30-day exclusion period.
We may change or end offers prospectively. Properly earned rewards will remain subject to the terms under which they were earned, including disclosed eligibility and reversal conditions, unless a change is required by law. Removing an ineligible reward may reduce the Free allowance and pause excess automations.
12. Acceptable use and intellectual property
You must not use the Service to violate law or third-party rights; access accounts or data without authorization; distribute malware; interfere with the Service; probe or exploit security vulnerabilities without authorization; evade technical controls or subscription restrictions; scrape or extract other users’ data; or resell access without our written permission.
You must not reverse engineer or attempt to obtain non-public source code except to the extent applicable law expressly permits that activity despite this restriction. Good-faith security concerns can be reported to [email protected].
We and our licensors retain rights in the Service, software, branding, and documentation. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access the Service for your permitted use during the applicable access period. Third-party and open-source components remain subject to their applicable licenses.
You retain your rights in calendar content, rules, and other materials you provide (Your Content). You grant us only the rights reasonably needed to host, process, transmit, and modify Your Content to provide and secure the Service as you authorize. This grant does not transfer ownership, authorize sale of personal data, or authorize training general-purpose AI models on your calendar content.
If you voluntarily provide product feedback, we may use it to improve the Service without compensation. This permission does not override confidentiality obligations or expand our rights to personal data or calendar content.
13. Suspension, termination, and service changes
You may stop using the Service and request account deletion at [email protected] or through any available account controls. Cancel renewal separately if the deletion flow does not expressly include it. We will not continue charging for a subscription after an account-deletion request has been completed and access has ended, except for valid amounts already incurred.
We may suspend or terminate access where reasonably necessary to address a material breach of these Terms, unlawful use, a security threat, fraud, a legal requirement, or nonpayment of an authorized charge. Where practical and lawful, we will explain the reason and give you a reasonable opportunity to resolve the issue. Immediate action may be necessary where delay would create harm or violate law. You can contact us to ask for review of an access restriction.
Changes to subscription features. Heldrey may change what a subscription includes from time to time, including adding, changing, replacing, or discontinuing features, integrations, usage allowances, and technical limits. This right is subject to the protections below and does not authorize retroactive charges or removal of mandatory legal rights.
For a change that materially reduces the functionality or allowance of your existing subscription, we will give at least 30 days’ advance notice by email or a prominent in-product notice, explaining the change, its effective date, and your cancellation options. We may make a change sooner where reasonably necessary to comply with law or address an urgent security risk or an unexpected third-party service withdrawal. In that case, we will give as much notice as reasonably possible and explain why shorter notice was necessary. The refund right below still applies.
If a material reduction is unacceptable to you, you may cancel the affected paid subscription by contacting [email protected] before the change takes effect or within 30 days after it takes effect. You may choose cancellation effective on the change date or a later date within that request period. If the change has already taken effect and you request immediate cancellation, cancellation takes effect when we receive your request. You will receive a proportionate refund of the fees actually paid for the unused portion of the current prepaid subscription period , calculated on a daily basis from the effective cancellation date to the end of that period. This includes unused prepaid time under an annual subscription. There is no cancellation penalty, and we will not reprice the elapsed portion at a higher monthly rate. For a Team subscription, the purchaser or authorized administrator exercises this right for the affected Team subscription.
We will issue this refund within 14 days after the effective cancellation date or receipt of the request, whichever is later, or sooner if applicable law requires. We will normally refund the original payment method. Free access and unpaid early-access periods do not generate a cash refund because no subscription fees were paid. This special right is additional to statutory cancellation rights and the remedies otherwise available under these Terms.
If we discontinue the entire paid Service before the end of your prepaid period, we will refund the unused prepaid portion from the date access ends without requiring you to request cancellation. Minor changes, additions, and improvements that do not materially reduce your subscription do not, by themselves, create this special refund right. Subscription price changes are governed separately by Section 8.
Termination or deletion does not automatically undo calendar changes previously made. Data deletion, lawful retention, and third-party copies are addressed in the Privacy Policy. Provisions intended to survive termination, including accrued payment obligations, ownership, liability provisions, and dispute terms, continue to apply to the extent permitted by law.
14. Privacy and third-party services
Our Privacy Policy, available through the Service, explains how we collect, use, disclose, retain, and protect personal information and how you can exercise applicable rights. These Terms do not replace that notice or constitute consent to unrelated data processing.
Google and other third-party services are independently operated. You must comply with applicable third-party terms, and their availability and permissions can affect Heldrey. Heldrey is not affiliated with or endorsed by Google. Google Calendar is a trademark of Google LLC.
Our handling of information received from Google APIs is subject to applicable Google API user-data requirements. We do not obtain broader rights to Google user data through these Terms than those requirements allow.
15. Service warranties and disclaimers
We will provide the Service with reasonable care and skill. Subject to that commitment and any rights that cannot be excluded, the Service is provided on an “as available” basis. We do not guarantee uninterrupted or error-free operation, compatibility with every third-party system, any particular business outcome, or that every automation, preview, route estimate, or undo attempt will produce the result you expect.
To the extent permitted by applicable law, we exclude implied warranties of merchantability, fitness for a particular purpose, and non-infringement, except where expressly provided in these Terms. No statement here excludes a statutory quality standard or remedy that applies to you and cannot lawfully be excluded.
16. Limitation of liability
To the extent permitted by applicable law, neither Heldrey nor its personnel or licensors will be liable under or in connection with these Terms for indirect or consequential loss, or loss of profits, revenue, business opportunities, goodwill, or anticipated savings.
Subject to the exceptions below, Heldrey’s total aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of US$100 and the fees you paid to Heldrey for the Service during the 12 months immediately preceding the first event giving rise to the claim. For an organizational subscription, this calculation uses fees paid under that organization’s affected subscription.
These exclusions and limits do not apply to fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or any liability that applicable law does not permit us to exclude or limit. They do not limit your entitlement to refunds expressly due under these Terms or mandatory law. If a restriction is prohibited in your jurisdiction, it applies only to the maximum extent permitted there.
17. Business-user indemnity
This section applies only where you use the Service in the course of a business or on behalf of an organization, not as a consumer acting for personal purposes.
To the extent permitted by law, you will indemnify Heldrey against third-party claims and reasonable resulting damages, settlements, and legal costs to the extent caused by your unlawful use of the Service, your infringement of third-party rights through Your Content, or your intentional unauthorized access to another person’s accounts. This does not apply to the extent a claim results from Heldrey’s own breach, negligence, or misconduct.
We will promptly notify you of a claim, reasonably cooperate, and allow you to control its defense with suitable counsel. You may not agree to a settlement admitting fault by Heldrey, imposing a non-monetary obligation on Heldrey, or failing to release Heldrey without our prior written consent, which will not be unreasonably withheld.
18. Israeli law and jurisdiction
These Terms are governed by the laws of the State of Israel, without regard to its conflict-of-laws rules.
To the extent permitted by applicable law, the competent courts in Tel Aviv–Yafo, Israel, will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service.
Nothing in these Terms limits mandatory consumer protections or rights to bring proceedings in another court that apply to you and cannot lawfully be excluded or restricted. Choosing Israeli law does not remove obligations imposed by other applicable laws, including applicable data-protection laws.
You may contact [email protected] to seek an informal resolution. Doing so is not a mandatory waiting period, does not prevent you from seeking urgent relief, and does not restrict statutory complaint or court rights.
19. Changes to these Terms
We may update these Terms to reflect changes in the Service, legal requirements, or our business. We will identify the effective date and provide reasonable advance notice of material changes, through email or a prominent in-product notice, where practicable. Changes required urgently for legal or security reasons may take effect sooner with notice as appropriate.
Changes will not apply retroactively to an existing dispute. Where the law requires express acceptance, we will obtain it. Otherwise, your continued use after the effective date signifies acceptance to the extent permitted by law. If you do not agree, you may stop using the Service and cancel renewal. Material reductions to prepaid services remain subject to Section 13 and mandatory rights.
20. General terms and contact
These Terms and the offer you expressly accept govern your use of the Service, unless a separate signed agreement with Heldrey provides otherwise. A signed agreement prevails to the extent of a conflict. A Privacy Policy does not override the subscription price or grant broader content rights than these Terms.
If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law. A delay in enforcing a provision is not a waiver. You may not transfer your subscription to another person without our agreement, except where permitted by law. We may transfer this agreement as part of a genuine merger, reorganization, or sale of the relevant business, provided that doing so does not materially reduce your contractual rights; we will provide any required notice.
For questions, support, cancellation, privacy requests, or legal notices, contact [email protected]. Statutory service-of-process requirements and other legally required contact methods are unaffected.
